The following document is an electronic reproduction of the Eneabba Gas Limited ("Company") Prospectus for the offer of up to 50,000,000 new ordinary fully paid shares at an issue price of 25 cents per share to raise up to $12.5 m. One free option (exercisable at 30cps on or before the expiry date of 30 June 2009) for every two (2) shares allotted will be granted for no consideration. The Prospectus is dated 16 December 2005.

The Prospectus does not constitute an offer in any place in which, or to any person to whom it would not be lawful to make such an offer. It is intended that shares issued under the Prospectus will be issued to persons in Australia.

Applications for shares in the Company must be made in the application form attached to the Prospectus. No application will be accepted until the expiration of the Australian Securities and Investment Commission ("ASIC") exposure period, which is the period 7 days after the date of lodgement of this Prospectus with ASIC, unless that period is extended by the ASIC to 14 days. During the exposure period you may obtain a free paper copy of the Prospectus so long as you are a person residing in Australia.
